PASSIVE WEALTH PLAN AND ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SERVICE PROVIDERS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE DIGITAL PROPERTIES OR FROM YOUR INTERACTIONS WITH THIRD-PARTY PROFESSIONALS, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Investment losses or financial damages
• Insurance claim disputes or coverage issues
• Business interruption
• Loss of goodwill or reputation
• Any other intangible losses

EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

PASSIVE WEALTH PLAN SHALL NOT BE LIABLE FOR ANY ADVICE, SERVICES, PRODUCTS, ACTIONS, OR OUTCOMES FROM FINANCIAL PROFESSIONALS OR INSURANCE PROFESSIONALS YOU CONNECT WITH THROUGH THIS WEBSITE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE LESSER OF (A) ONE HUNDRED DOLLARS ($100) OR (B) THE AMOUNT YOU PAID TO US, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for incidental or consequential damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

11. Force Majeure

Company shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, epidemics, public health emergencies, war, terrorism, riots, government actions or restrictions, telecommunications failures, internet service disruptions, cyberattacks, hacking, distributed denial of service attacks, or third-party service provider failures or disruptions.

12. Indemnification

You agree to indemnify, defend, and hold harmless Passive Wealth Plan and its affiliates, directors, officers, employees, agents, service providers, partners, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees and court costs) arising from or related to:

• (a) Your violation of these Terms and Conditions
• (b) Your use or misuse of the Digital Properties
• (c) Your interactions with third-party financial or insurance professionals
• (d) Your financial decisions made after receiving third-party offers or advice
• (e) Disputes between you and third parties who purchased your information
• (f) Your violation of any third-party rights, including intellectual property rights or privacy rights
• (g) Your violation of any applicable laws or regulations
• (h) Any false, inaccurate, or misleading information you provide through the Digital Properties

This indemnification obligation will survive termination of your use of the Digital Properties.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, controversy, or claim arising from or relating to these Terms and Conditions or your use of the Digital Properties (including any alleged breach, termination, or validity thereof) will be resolved through binding arbitration administered by W.I.S.E. (Wise Institute for Strategic Equity) under its Dispute Resolution Services rules (available at https://wise.org/dispute-resolution-services-2/), conducted by a single arbitrator appointed by W.I.S.E.

CLASS ACTION WAIVER: You agree that any arbitration or proceeding shall be conducted on an individual basis only and not as a class action, consolidated action, or representative action. You expressly waive any right to pursue claims on a class basis or to participate in a class action lawsuit or class-wide arbitration.

JURY TRIAL WAIVER: You waive any right to a jury trial for any disputes covered by this arbitration provision.

The arbitration shall be conducted in Miami-Dade County, Florida, or remotely via video conference if mutually agreed. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

THIRD-PARTY DISPUTES: Any disputes you have with financial professionals or insurance professionals connected through this website shall be resolved solely between you and them and shall not involve Passive Wealth Plan. We are not a party to any such disputes.

14. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Florida without regard to its conflicts of law provisions.

For any disputes not subject to arbitration (such as claims for equitable relief), you agree that any such dispute shall be subject to the exclusive jurisdiction and venue of the state and federal courts located in Miami-Dade County, Florida.

15. Regulatory Compliance Statement

Passive Wealth Plan operates as a marketing and lead generation service and is not registered or licensed as a financial services provider, broker-dealer, investment advisor, registered investment advisor (RIA), insurance company, insurance agent, or financial institution under federal or state law.

We do not operate under financial services regulations such as those enforced by the Securities and Exchange Commission (SEC), Financial Industry Regulatory Authority (FINRA), state insurance departments, or other financial regulatory bodies.

We comply with applicable data privacy and consumer protection laws, including obtaining your consent for data collection and sale where required by law.

16. Data Security Limitations

While we employ commercially reasonable security measures to protect user data, you acknowledge that:

• No system is completely secure against all threats

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Passive Wealth Plan regarding the use of the Digital Properties, superseding any prior agreements, communications, or understandings, whether oral or written.
